Welcome to ServiceIT LLC, doing business as ServiceIT (“ServiceIT,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, serviceit.io (the “Website”), and our Managed Service Provider (MSP) services, including IT support, remote and onsite support, network management, cybersecurity support, cloud services, Microsoft 365 and Google Workspace support, backup management, website support, software licensing support, project services, and related IT services (collectively, the “Services”).
Our Services are intended for business use by organizations and their authorized representatives who are at least 18 years of age. ServiceIT primarily serves business clients in Washington State and the United States.
By accessing or using our Website or Services, you (“you,” “your,” or “Client”) agree to be bound by these Terms. If you do not agree to these Terms, do not use our Website or Services.
These Terms are intended to provide general terms for the Website and Services. Specific services, pricing, response times, deliverables, exclusions, and responsibilities may be defined in a separate written service agreement, proposal, statement of work, quote, order form, or other written agreement between you and ServiceIT (collectively, a “Service Agreement”). If there is a conflict between these Terms and a Service Agreement, the Service Agreement controls for the specific services covered by that agreement.
1. Acceptance of Terms
These Terms, together with our Privacy Policy and any applicable Service Agreement, form an agreement between you and ServiceIT LLC (DBA ServiceIT).

We may update these Terms from time to time. Updates will be posted on the Website with a revised effective date. Continued use of the Website or Services after changes are posted means you accept the updated Terms.
2. Services Provided
ServiceIT provides MSP and IT-related services that may include:
- IT support and troubleshooting
- Remote and onsite technical support
- Network management and support
- Cybersecurity support and security tools
- Cloud service support and management
- Microsoft 365 and Google Workspace support
- Backup management and data restoration support
- Website support, hosting support, and related services
- Software licensing support
- Project work, migrations, deployments, upgrades, and related IT services
ServiceIT may use third-party vendors, platforms, software tools, cloud providers, cybersecurity tools, backup providers, remote monitoring and management tools, communications providers, licensing providers, and other technology providers to deliver the Services.
Unless specifically agreed in writing, ServiceIT does not guarantee any specific uptime, response time, repair time, restoration time, security result, backup result, or business outcome.
3. Eligibility and Authority
You must be at least 18 years old and authorized to use the Website or Services.
If you are using the Services on behalf of a business, organization, or other entity, you represent that you have authority to accept these Terms and enter into agreements on behalf of that entity.
4. Account and Credential Responsibilities
You are responsible for safeguarding account credentials, administrative access, passwords, authentication methods, and all activity under accounts owned or controlled by you or your organization.
You agree to notify ServiceIT promptly at [email protected] if you suspect unauthorized access, compromised credentials, security incidents, or misuse of systems that ServiceIT supports.
When necessary to provide Services, ServiceIT may access or use administrative accounts, credentials, tokens, remote access tools, or privileged access. Credentials are only stored when needed or requested and are protected using reasonable safeguards.
5. Client Responsibilities
You agree to:
- Provide accurate and complete information needed to deliver the Services.
- Use the Website and Services in compliance with applicable laws.
- Provide reasonable access to systems, accounts, data, vendors, documentation, and personnel necessary for service delivery.
- Maintain your own hardware, software, internet service, power, licensing, warranties, subscriptions, and vendor relationships unless otherwise agreed in writing.
- Maintain appropriate internal policies, user training, insurance, data governance, compliance programs, and business continuity plans for your organization.
- Promptly notify ServiceIT of outages, security concerns, access issues, failed backups, suspected data loss, or other problems affecting supported systems.
- Not misuse the Website or Services, including hacking, abuse, spam, malware distribution, unlawful activity, or attempts to interfere with systems or services.
You are responsible for determining whether the Services meet your business, legal, security, compliance, and operational requirements unless otherwise agreed in writing.
6. Fees, Billing, and Payment
Fees, billing terms, service rates, included services, exclusions, and payment requirements are outlined in the applicable Service Agreement, proposal, quote, invoice, or written arrangement.
Unless otherwise stated in writing, invoices are due within the timeframe listed on the invoice or Service Agreement.
Late payments may incur interest, late fees, collection costs, or other charges where permitted by law and as stated in the applicable Service Agreement or invoice terms.
ServiceIT may suspend or limit Services for accounts that are past due, subject to reasonable notice where practical, unless immediate action is needed due to risk, misuse, security concerns, or other material issues.
Fees are non-refundable unless otherwise stated in writing.
7. Taxes
You are responsible for any applicable taxes, fees, assessments, or governmental charges related to the Services, except for taxes based on ServiceIT’s income.
If ServiceIT is required to collect or remit taxes for any Services, products, subscriptions, licensing, or other charges, those amounts may be added to your invoice.
8. Service Changes and Project Work
ServiceIT may provide project work, migrations, deployments, upgrades, advanced troubleshooting, onsite work, emergency work, or other services outside the standard managed service scope.
Project work may require separate approval, scheduling, pricing, deposits, or written scope. Changes to scope, timelines, deliverables, or requirements may result in additional fees.
ServiceIT is not responsible for delays caused by unavailable client personnel, missing information, vendor delays, third-party outages, licensing issues, hardware availability, internet service issues, or other circumstances outside ServiceIT’s reasonable control.
9. Intellectual Property
All Website content, branding, logos, documentation, templates, tools, processes, scripts, configurations, reports, service methods, and other materials created or provided by ServiceIT are owned by ServiceIT or its licensors unless otherwise agreed in writing.
You retain ownership of your business data, client data, files, systems, and content.
You grant ServiceIT a limited right to access, use, process, transmit, store, and handle your data as needed to provide the Services, operate our business, comply with legal obligations, and perform tasks requested or authorized by you.
10. Data Protection and Privacy
ServiceIT handles information in accordance with its Privacy Policy, available at https://serviceit.io/privacy-policy/.
When providing MSP services, ServiceIT may access personal information, business information, credentials, logs, files, emails, backups, configurations, security alerts, device information, and other client data as needed to provide the Services.
Depending on the circumstances, ServiceIT may act as a business, service provider, data controller, or data processor with respect to information handled through the Services.
You are responsible for ensuring that you have the lawful authority to provide data, access, systems, credentials, and information to ServiceIT, and for meeting any notice, consent, compliance, or regulatory obligations applicable to your organization.
11. Cybersecurity Disclaimer
No IT system, network, device, account, backup, or security tool is completely secure. While ServiceIT uses commercially reasonable efforts and appropriate tools based on the service scope, ServiceIT does not guarantee that security incidents, unauthorized access, malware, phishing, ransomware, data loss, service interruptions, or cyberattacks will not occur.
Cybersecurity tools and monitoring reduce risk but do not eliminate risk. ServiceIT is not an insurer and does not guarantee prevention, detection, response, recovery, or remediation of every security event.
You remain responsible for business risk decisions, cyber insurance, internal policies, user training, compliance programs, and approving security recommendations unless otherwise agreed in writing.
12. Backup and Data Restoration Disclaimer
Backup services are intended to reduce risk but do not eliminate the possibility of data loss, failed backups, incomplete backups, corrupted data, restoration issues, vendor failures, configuration issues, or other problems.
Backup retention, coverage, frequency, storage, and restoration options depend on the applicable service scope, backup configuration, vendor platform, client instructions, and available systems.
You are responsible for verifying that backup coverage, retention, and restoration capabilities meet your business needs unless otherwise agreed in writing.
ServiceIT does not guarantee that all data can be recovered or restored in every situation.
13. Third-Party Services and Vendors
The Services may rely on third-party vendors, platforms, internet providers, cloud providers, software providers, cybersecurity tools, backup providers, licensing providers, payment processors, hosting providers, communications providers, and other service providers.
ServiceIT is not responsible for outages, failures, data loss, security incidents, price changes, licensing changes, feature changes, account suspensions, policy changes, or other issues caused by third parties outside ServiceIT’s reasonable control.
Your use of third-party services may be subject to the third party’s own terms, conditions, privacy policies, licensing rules, acceptable use policies, and service limitations.
14. Service Availability
ServiceIT strives to provide reliable Services, but does not guarantee uninterrupted availability of the Website, Services, systems, remote access tools, vendor platforms, support channels, or third-party services.
Services may be delayed, limited, or unavailable due to maintenance, upgrades, emergencies, security events, vendor outages, internet issues, power failures, natural disasters, client-side issues, or circumstances outside ServiceIT’s reasonable control.
15. Remote Access and Client Systems
To provide Services, ServiceIT may use remote access tools, monitoring tools, administrative access, management agents, scripts, commands, software utilities, or vendor platforms to access, monitor, support, troubleshoot, secure, or manage client systems.
You authorize ServiceIT to access and manage supported systems as reasonably necessary to provide the Services or complete requested work.
You are responsible for maintaining appropriate backups, approvals, licensing, warranties, vendor support, and internal authorization for systems that ServiceIT supports.
16. Client Offboarding and Termination
Either party may terminate Services as outlined in the applicable Service Agreement. If no specific termination term applies, either party may generally terminate ongoing Services with 30 days’ written notice.
ServiceIT may suspend or terminate Services for material breach, non-payment, misuse, unlawful activity, security risk, abusive conduct, or circumstances that make continued service unreasonable or unsafe.
When a service relationship ends, ServiceIT may assist with account transfer, data export, documentation transfer, access removal, tool removal, backup review, archiving, and other offboarding tasks when requested or required by the service scope.
ServiceIT may retain certain records after termination as described in the Privacy Policy or as required for legal, tax, accounting, security, business, dispute resolution, or compliance purposes.
Some information may remain in backups, logs, vendor platforms, accounting records, archived records, or service history for a reasonable period after Services end.
17. Acceptable Use
You may not use the Website or Services to engage in unlawful, harmful, abusive, fraudulent, infringing, or malicious activity.
Prohibited activity includes unauthorized access, hacking, malware distribution, phishing, spam, harassment, illegal content, intellectual property infringement, attempts to disrupt systems, or activity that creates unreasonable risk for ServiceIT, its vendors, clients, or systems.
ServiceIT may suspend or refuse Services if we reasonably believe the Website or Services are being misused or if continued service may create legal, security, operational, or reputational risk.
18. Regulated Industries and Compliance
Some clients may operate in industries that handle sensitive or regulated data, such as healthcare, legal, finance, insurance, government, defense, nonprofit, or other regulated sectors.
Unless specifically agreed in writing, these Terms do not state or guarantee that ServiceIT provides HIPAA, CMMC, SOC 2, PCI, or other regulated compliance services.
Any specialized compliance obligations, audits, controls, documentation, reporting, or regulatory requirements must be addressed in a separate written agreement.
19. SMS Communications
ServiceIT may use SMS text messages to communicate with clients, prospective clients, and authorized representatives regarding service-related matters, including appointment reminders, support updates, scheduling, service requests, account notices, or other information you request.
By providing your mobile phone number and opting in to receive text messages from ServiceIT, you consent to receive SMS messages from ServiceIT related to your interactions with us. Consent to receive SMS messages is not required as a condition of purchasing Services.
Message frequency may vary. Standard message and data rates may apply.
You may opt out at any time by replying STOP. You may reply HELP or contact us directly at [email protected] for assistance.
We do not sell or share your mobile phone number with third parties for their independent marketing purposes. We may share your information with trusted service providers that help us deliver messages or provide technical services, but these providers may not use your information for their own marketing.

20. Marketing Communications
ServiceIT may send occasional marketing or informational communications about ServiceIT services, updates, or relevant business technology topics.
You may opt out of marketing communications at any time by following the unsubscribe instructions in the message or contacting us directly.
Even if you opt out of marketing communications, ServiceIT may still send service-related, billing, security, legal, or transactional communications.
21. Limitation of Liability
To the fullest extent permitted by law, ServiceIT’s total liability for any claim arising out of or related to the Website, Services, these Terms, or any Service Agreement will not exceed the fees paid by you to ServiceIT for the affected Services during the 12 months preceding the event giving rise to the claim.
To the fullest extent permitted by law, ServiceIT will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business, loss of goodwill, lost data, business interruption, or costs of substitute services.
ServiceIT is not responsible for events beyond its reasonable control, including natural disasters, power failures, internet outages, labor disruptions, vendor outages, supply chain delays, cyber incidents not caused by ServiceIT’s gross negligence, client-side issues, third-party failures, or acts of government.
22. Indemnification
You agree to indemnify, defend, and hold harmless ServiceIT LLC, its owner, employees, contractors, affiliates, and representatives from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Website or Services, your violation of these Terms, your violation of applicable laws, your data or systems, your misuse of third-party services, or your failure to obtain required rights, permissions, notices, or consents.
23. No Professional Legal, Financial, or Compliance Advice
ServiceIT provides IT services and related technical support. Unless specifically agreed in writing, ServiceIT does not provide legal, financial, insurance, tax, regulatory, or formal compliance advice.
You should consult qualified professionals for legal, regulatory, insurance, financial, tax, or compliance matters affecting your organization.
24. Governing Law and Venue
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.
The parties agree to attempt good-faith resolution of disputes before pursuing formal legal action where practical.
Venue for any legal action shall be in King County, Washington, unless otherwise required by law or agreed in writing.
25. Miscellaneous
These Terms, the Privacy Policy, and any applicable Service Agreement constitute the agreement between you and ServiceIT regarding the Website and Services.
If any provision is found unenforceable, the remaining provisions remain in effect.
Failure to enforce a provision is not a waiver.
You may not assign these Terms without ServiceIT’s consent. ServiceIT may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or other business transfer.
